May 9, 2023, HSAC Meeting Minutes Page 17souquo%
SAO
Kamakana: Sent OIP the HSAC documents, based on those documents OIP provided guidance,
HSAC is not subject to sunshine under the definition of Chapter 92. Does not impact the
nonprofit status.
CM Paltin: Request we go by the OIP guidance but that we also continue to ask for a formal
opinion for the future.
Page 15 amendment deferred
Page 11 - travel was referenced in multiple places, now it is cleaned up only to refer to it in one
place. Clark that registration fees are allowable and define who is eligible. Has to be incurred
expenses allocated in the budget.
Page 12, who is eligible, HSAC officers or designated alternatives to travel to the meetings.
Can attend no more than two conferences per year.
Page 13, members who serve on board of directors, can go as long as within their duties (as long
as there is an official meeting).
Para 5, any member of the steering committee who serves as chair or vice chair.
Sec 6, HSAC officer can travel to legislature to test
HSAC ED can attend events in support of HSAC.
Page 13, clarifies what travel expenses are only for eligible participants as defined above.
Page 13, added rideshare or shuttle or bus to allowable transportation.
Page 17, claming language so you do not have to snail mail. Amendment is to allow us to email
items to be added to the agenda and allows the ED to assist with this.
Keeping language that agenda must be posted 6 days prior.
Page 21, 22, deleted the travel section because it is duplicative.
Clarified reimbursement procedures, documents shall be received by the chair in 30 days.
Kamakana: Any amendment to bylaws voted on by the HSAC EC goes into effect immediately
after the vote but is not made permanent until the GM meeting. Sec 13,page 10.
For Councilmember Kagiwada: The section in the Bylaws is formerly Section 13A, now Section
1OA "Powers and Duties of the Executive Committee:Permanent and Interim Corporate Policy:
It states, "An interim policy shall take effect on the date designated by the executive committee
and shall become permanent corporation policy on the adjournment of the annual meeting held
immediately following the approval of the interim policy...':
I'm sorry the Annual meeting is often referred to as the.Annual conference. But there are not two
separate events. The Bylaws do not mention an "annual conference"at all.
CM Kagiwada: Hmmm, ok. The Annual Meeting and The Annual Conference do not have to be
one and the same? or they do? I thought we could call a general membership meeting at any
time? Then, could we have a general membership meeting between voting on by-laws and the;
conference and make them permanent then?
Kamakana:• The Annual Meeting and The Annual Conference are the same meeting You can
have a General membership meeting at any time. The General Membership is comprised of every,
member of every county.council, as non-voting members. The only voting members are the four
executive committee members. So the executive committee can either invite all county council
