• 00-40 • <br /> The Waikiki Business Improvement District is <br /> dedicated to enhancing the quality of life in <br /> Waikiki, which shall exemplify the quality of <br /> life throughout the State of Hawaii, by <br /> providing businesses, visitors, employees and <br /> residents of Waikiki with a safe, clean and <br /> enjoyable environment in which to live, work <br /> and play. The Waikiki Business Improvement <br /> District shall work in partnership with <br /> government to develop and implement programs <br /> that promote the overall vitality of Waikiki <br /> and the State of Hawaii, by strengthening <br /> their roles as world-class resort destination <br /> areas. <br /> 5, The Dia i Y Ag40 is ion and Dia rirY Aoa d, The <br /> District Association established for the Waikiki Business <br /> Improvement District ("District Association") will be <br /> incorporated under HRS chapter 415B, the State Not-For-Profit <br /> Corporation Law. The District Association will be organized for <br /> the purpose of selecting the Board of Directors of the District <br /> <br /> Association ("Board"), which will execute the responsibilities <br /> and activities prescribed in this Plan on behalf of the District <br /> <br /> Association. <br /> (a) IRC 501(c)(3) Status. The District Association <br /> will be organized exclusively for charitable and educational <br /> purposes as specified in Section 501(c)(3) of the Internal <br /> Revenue Code of 1954, as amended. <br /> (b) Classes of Membership. The District Association <br /> will have two (2) classes of voting membership and one class <br /> of non-voting membership. The voting classes shall be <br /> composed of: <br /> (i) fee simple owners and ground lessees of <br /> record of real property located within the District; <br /> and <br /> (ii) commercial tenants leasing space within the <br /> District who have registered as such commercial tenants <br /> with the Board in accordance with the District <br /> Association's articles or bylaws. <br /> The nonvoting class shall include landowners who are <br /> exempt from paying Assessments (defined below), the <br /> -2- <br /> 00-40 <br /> <br />
