THE ARC OF HILO <br />SUBLEASE AGREEMENT <br />THIS INDENTURE OF LEASE, made this day of by <br />and between and the COUNTY OF HAWAII, a municipal corlwmtion of the State of Hawai `i, <br />whose principal place of business and mailing address is 25 Aupuni Street, Hilo, Hawaii 96720 <br />(hereinafter referred to as the "County', and THE ARC OF HILO , a Hawaii nonprofit corporation, <br />whose principal place of business and mailing address is 1099 Waianuenue Avenue, Hilo, Hawaii <br />96720 (hereinafter referred to as "ARC'S. <br />WITNESSETH: <br />WHEREAS, the County entered into a Lease Ageement dated September 21, 2007, with <br />1055 Kinoole, LLC., as Landlord; and <br />WHEREAS, the subject Lease Agreement allows the County to sublease any portions of the " <br />demised premises subject to all of the temms and conditions as set forth in the original Lease <br />Agreement dated September 21, 2007; and <br />WI~:REAS, ARC agrees to sublease the demised premises subject to the terms and <br />conditions in the above Lease (Exhibits "A-1 and A-2"). <br />NOW, THEREFORE, THE PARTIES COVENANT AND AGREE AS FOLLOWS: <br />1. Premises. <br />(a) .County hereby subleases to ARC, upon the terms and conditions herein set <br />forth, that portion of the Complex located at 1055 Kino'ole Street, Hilo, <br />Hawaii 96720, identified as being a portion of Tax Map Key: (3)2-2-020:014 <br />(hereinafter "Complex"), and described in Exhibit "B" attached hereto <br />(hereinafter referred to as the `~remises'~. <br />(b) The parties aclmowledge that the square footage of the premises as set forth in <br />Exhibit "B" is approximately 80 square feet of office space, which wnstitute a ' <br />portion of the Complex. <br />2. -Term. The term of this lease shall commence on November 1, 2008, and shall <br />continue on a month-to-month bases. <br />3. Occupuicy. ARC shall be given occupancy of the premises by November 1, 2008. <br />4. Rent. ARC shall pay to the County, in such coin or aunency of the United States of ` <br />America as at the time of payment shall be legal tender for the payment ofpublic and <br />private debts, without any setoff or deduction whatsoever, a monthly rent as follows: <br />22020014 -2- <br />
