5/97 Attachment 3 <br /> #2, #3 Page 1 <br /> COMPENSATION AND PAYMENT SCHEDULE <br /> 1. COMPENSATION. <br /> Subject to continuing availability of of funds, the STATE agrees to pay <br /> Contractor, for services satisfactorily performed under this Agreement, a sum not to exceed <br /> One Million Three Hundred Sixty Four Thousand One Hundred and Twelve Dollars <br /> ($1.364,112), provided that Contractor shall apportion said sum among the programs/activities <br /> set forth in this Attachment. Payment of this sum shall constitute full and complete <br /> compensation for all services, materials, supplies, equipment, overhead, taxes, and other <br /> incidentals and operating expenses which Contractor incurs in the performance of this <br /> Agreement. It is strictly understood and agreed by Contractor that the sum payable to it under <br /> this Agreement shall be payable only upon receipt by the STATE of those federal funds <br /> described and provided pursuant to the STATE's Plan on Aging, and that this Agreement shall <br /> not be construed as a general agreement by the STATE to pay said amount to Contractor out of <br /> any funds other than those received from DHHS. <br /> 2. METHOD OF PAYMENT. <br /> a. The funds awarded to the STATE by the DHHS and appropriated by the <br /> state legislature for purpose of this Agreement shall be subject to the allotment system as <br /> provided in Chapter 37, Hawaii Revised Statutes. <br /> b. Subject to availability of funds, payments to Contractor under this <br /> Agreement shall be made in accordance with and are subject to the provisions of Chapter 7, <br /> Request for Payments (Area Agency on Aging Reporting Handbook), and are subject to the <br />
