Docusign Envelope ID: FD616E7E-3155-4C4C-A06A-ACFDO1 F6FF28 <br /> Two Dollars ($173,362) (Producer shall have the option to extend for up to an additional 3 days if <br /> needed for restoration of the Property), inclusive of all taxes (including the state of Hawaii general <br /> excise tax ["GE Tax"] and Hawaii Transient Accommodations tax ["TA Tax"]), payable as follows: <br /> -On or before June 15, 2025, the refundable damage deposit of Twenty-Five Thousand Dollars <br /> ($25,000) ("Damage Deposit"). <br /> -On or before July 1 , 2025, a payment of Forty-Three Thousand Three Hundred Forty Dollars <br /> and 50/100 ($43,340.50). <br /> -On or before July 15, 2025, a payment of Eighty-Six Thousand Six Hundred Eighty-One <br /> Dollars ($86,681). <br /> -On or before August 1 , 2025, a payment of Forty-Three Thousand Three Hundred Forty Dollars <br /> and 50/100 ($43,340.50). <br /> In the event the parties mutually agree to extend the Term, Owner will be paid a daily fee <br /> inclusive of all taxes (including the GE Tax and TA Tax) of Three Thousand Five Hundred <br /> Thirty-Eight Dollars ($3,538) per day. <br /> The Location Fee is inclusive of any and all labor, materials and/or other costs associated <br /> with: (i) prepping the Property for Producer pursuant to the Tech Scout; and/or (ii) regular <br /> maintenance of the Property (e.g., landscaping, gardening, pool maintenance, etc. <br /> In the event of damages directly caused by Producer during the Term, Producer agrees to <br /> make all reasonably necessary repairs to restore the damaged areas of the Property to their <br /> original condition as of the possession dates of the Property set forth herein, reasonable <br /> wear and tear from the normal and customary use of the Property excluded ("Agreement to <br /> Repair"). Producer's Agreement to Repair shall be limited to the specific damaged areas of <br /> the Property (by way of example only, if Producer directly caused damage to a section of <br /> the Property floor, Producer shall only be required to return that damaged section of the floor <br /> back to its original condition (including its appearance in relation to the flooring in the general <br /> area of the section damaged) and shall not be required to replace and/or restore the floor in <br /> the entire Property). Producer's Agreement to Repair shall be in accordance with the <br /> following: The parties agree to conduct a "walk-through" of the Property (which may be <br /> videotaped and/or photographed by Producer at Producer's discretion) upon Producer's <br /> arrival, and a detailed report of the Property's condition on the possession date shall be <br /> prepared by Producer outlining any damages and/or other property conditions for which <br /> Producer shall not be responsible and shall be excluded from Producer's Agreement to <br /> Repair; such report shall serve as an addendum to the Condition Report, provided however <br /> the parties agree that the addendum shall not be an exhaustive list of potential exclusions <br /> (e.g., the parties acknowledge that there could be latent defects on the Property that could <br /> not have been discovered by a reasonable inspection). The parties shall conduct a second <br /> "walk-through" of the Property at the expiration of the Term, and at that time Producer and <br /> Owner will mutually determine, in reasonable good faith, whether any damage has been <br /> done to the Property by Producer. Upon completion of the second "walk-through," Producer <br /> will prepare a report ("Post-Term Report") specifying any and all repairs that Producer <br /> agrees to perform, and Producer will submit the Post-Term Report to Owner, and upon <br /> Owner's review, revision and approval such report shall be final and binding (i.e. the parties <br /> 2 <br /> 3124861_1 <br />
