(8) "Meeting" means the convening of the Commission for which a quorum is required in order to make a decision or to deliberate toward a decision upon a matter over which the Commission has supervision, control,jurisdiction, or advisory power. (9) "Party" means any person or agency named or admitted as a party or properly seeking and entitled as of right to be admitted as a party in a proceeding. (10) "Person" means any individual, partnership, firm, association,trust, estate, corporation, or other legal entity,whether or not incorporated, including governmental agencies. (11) "Proceeding" means any matter that is brought before the Commission in which it has jurisdiction, including but not limited to: (A) Appeals from the actions of the Director. (B) Adoption, amendment, or repeal of any rule of the Commission. 1-4 The Commission. (a) Office. The office of the Commission is at Hilo, Hawai'i. (b) Communications. Any communication to the Commission shall be addressed to the Environmental Management Commission of the County of Hawai'i,Department of Environmental Management, County Building, 25 Aupuni Street,Hilo, Hawaii 96720,unless otherwise directed. (c) Chairperson;vice-chairperson. A Chairperson and a Vice-chairperson or Co- Chairpersons shall be elected from the Commission members. The vice-chairperson shall perform all the duties of the chairperson during the absence of the chairperson. If Co-Chairpersons are elected, duties and powers of the Chairperson/Vice- Chairperson and any references within these rules shall treat the Chairperson/Vice- Chairperson and Co-Chairpersons synonymously. 1-5 Meetings (a) Regular Meetings. Regular meetings shall be held on a monthly basis on the fourth Wednesday and shall alternate between Hilo and Kona,unless otherwise specified by the Commission. (b) Special Meetings. Special meetings of the Commission for the transaction of its business may be held at any time and place as scheduled by the Commission. (c) Notice of Regular and Special Meetings. (1) The Commission shall give written public notice of any regular or special meeting. The notice shall include an agenda which lists all of the items to be considered at the forthcoming meeting,the date,time, and place of the meeting. 7-2
